Please read this membership agreement carefully before signing up to be a member of the Greenredeem programme.
This Agreement sets out the terms of the contract between Greenredeem Limited ("us" , "our" , "we" or "Greenredeem") and each member of the recycling scheme ("you" or "your").
Greenredeem rewards people for taking everyday green actions. Through understanding and collaboration our vision is to inspire communities to create a better future.
We provide you with opportunities to earn Points for these everyday green actions. These Points can be redeemed for Rewards at local and national Reward Partners in categories ranging from clothing to restaurants, sports and recreation, food and grocery, health and beauty, electronics and more. Points can also be redeemed in our monthly prize draw, or can be donated to good causes when made available through Greenredeem. Separate terms and conditions apply for each activity. See each individual activity for further details.
You can earn Points through Site engagement and/or participation in a Home Recycling Programme locally available to you by your local authority and/or participation in a Water Efficiency Programme where made available to eligible Thames Water customers.
As we are only enabling you to collect Points and earn Rewards (which will be carried out by our official Reward Partners), please familiarise yourself with section 11 of this Agreement before you register for an Account.
In this Agreement, the following term are used and will have the meaning set out below. Please do not hesitate to contact us if you have any questions about their effect or application:
"Account" means the personal account created for you following registration to which your Points will be credited.
"Agreement" means these terms and conditions.
"Greenredeem Membership" means your membership with Greenredeem under which you are rewarded with Points when you recycle accepted items either by using the Home Recycling Programme, or recycling on the go at a Greenredeem Kiosk.
"Home Recycling Programme" means the separate rewards programme offered in conjunction with a local authority's residential waste collection service.
"Water Efficiency Programme" means the separate rewards programme offered in conjunction with Thames Water to motivate householders to use less water
"Kiosk" means the recycling kiosks owned and operated by Greenredeem at which Points may be collected.
"Member Content" means any content, text, pictures, profile information, visual or audio data uploaded to the Site or Kiosks by you or other members.
"Points" means points awarded to you by us for taking approved everyday green actions under the terms of this Agreement.
"Programme" means the programme operated by Greenredeem allowing you to collect Point in exchange for taking approved everyday green actions, including participating in the Home Recycling Programme and/or taking green actions at our Kiosks.
"Reward Partners" means selected local and national organisations that provide incentives to recycle.
"Rewards" mean incentives to recycle as provided by the Reward Partners from time to time as displayed on our Site.
"Site" means https://www.greenredeem.co.uk/
"Smartphone Apps" means the official Greenredeem smartphone application(s) available for supported mobile devices, such as Android phone s or iPhones.
1.1 This Agreement is a legal document and has been designed to reflect the way the Greenredeem Membership operates through both https://www.greenredeem.co.uk/ and our Kiosks.
1.2 This Agreement will form the basis of your rights and obligations with Greenredeem in connection with your Greenredeem Membership you have applied to us for.
1.3 By submitting an application to register for the Programme, Home Recycling Programme or Water Efficiency Programme you agree to the terms of this Agreement and you understand your obligation to us.
1.4 If you require any further information in connection with your Greenredeem account or your Greenredeem Membership please contact the Customer Care Department via email at info@Greenredeem.co.uk or telephone on 0844-409-9490. We aim to respond to all member enquiries within 72 hours, excluding weekends and bank holidays. This support is strictly limited to Account holders or prospective Account holders.
2.1 To register for membership of the Programme and operate an Account, you must be 13 years of age and a resident of the United Kingdom.
2.2 To apply for an Account you must register through our dedicated online portal, by calling Customer Care on 0844 409 9490 or at one of our Kiosks. When applying you will need to provide personal information about yourself which will be processed in accordance with section 9 of this Agreement. Any information that you provide should be accurate and not untrue or misleading. If we suspect that any information supplied by you during the registration process is or was untrue, inaccurate or incomplete, we may, at our sole discretion and without limitation, suspend or cancel your membership application, cancel any Points earned and/or Rewards ordered, and refuse current or future access to our Site and/or the Programme.
2.3 Whilst we aim to approve Account applications where possible, Accounts are issued at out sole discretion and we reserve the right to decline any Account application without liability to you or to terminate this Agreement in accordance with section 12.
2.4 Once you have registered for the Programme, we will send you a weekly account activity update reflecting the activity that has taken place on your Account (such as earning or spending Points). Email preferences for all other emails in our programme can be updated under the "My Account" section, however, the weekly activity update email is mandatory in the programme.
2.5 Members who wish to participate in either the Home Recycling Programme or Water Efficiency Programme must actively opt in when they register with us on the Site.
2.6 To participate in the Home Recycling Programme or Water Efficiency Programme you must reside at the property from which you are seeking to claim Points. This only applies to residential properties that operate a local authority waste collection service.
2.7 In the event that there are multiple Members located at a single postal address, the first Member residing at that address to register for the Home Recycling Programme, or Water Efficiency Programme will be entitled to receive Points credited pursuant to the Home Recycling Programme, or Water Efficiency Programme as well as their own individual Points based on their own recycling efforts (such as items recycled at our Kiosks).
3 Account Security
3.1 You are solely responsible for all actions that take place on your Account and for keeping your username and password private and secure.
3.2 If you suspect that your account may have been accessed by someone other than yourself, you should notify us as soon as possible to avoid cancellation of your Account for fraud prevention reasons in accordance with section 12.
4 Conditions of membership
4.1 Your Greenredeem Membership and Account are conditional on the following conditions being fulfilled at all time:
4.1.2 if applicable, have complied with all terms and conditions relating to the Home Recycling Programme, or Water Efficiency Programme and all other terms and conditions relating to any other services operated by Greenredeem;
4.1.3 you have not deliberately sought to acquire, accrue and/or redeem Points in any way that is inconsistent with this Agreement or the spirit of the Programme;
4.1.4 your Account having either collected or spent Points in the previous twelve (12) months;
4.1.5 you do not have more than one account; and
4.1.6 you have complied with the terms of this Agreement.
4.2 Any failure to comply with the conditions specified above may result in your Account and Greenredeem Membership being terminated without notice or liability to you.
5 Our rights under this Agreement
5.1 We reserve the right to monitor your Account at any time to assess its compliance with this Agreement and for researching trends which may enable us to provide suitable Rewards to you.
5.2 We may at our sole discretion and without notice to you:
5.2.1 change the number of Points required to redeem a Reward as a result of agreement between us and our Reward Partners;
5.2.2 revise the Points awarded for particular items recycled at our Kiosks due to fluctuation of recycling market factors;
5.2.3 revise the points awarded for the Home Recycling Programme or Water Efficiency Programme due to fluctuation of recycling or water market factors;
5.2.4 revise the eligibility of items to be recycled at our Kiosks or through the Home Recycling Programme to ensure that items collected from you can be effectively recycled;
5.2.5 change the list of Rewards and/or Reward Partners available;
5.2.6 change the name of the currency from Points, add additional currencies, determine the value of any new currency as compared to the original Points.
5.2.7 make a free entry into our prize draw on your behalf by crediting your account with the number of points required to enter, and then debiting those points, so that the net points affect is nil
5.3 We have no obligation whatsoever to monitor and are not responsible for Member Content, but you acknowledge and agree that we may do one or all of the following:
5.3.1 monitor the Member Content;
5.3.2 alter, edit, or remove any Member Content in whole or in part;
5.3.3 refuse to accept, post, display or transmit any Member Content; or
5.3.4 disclose any Member Content to any legal body in connection with the investigation of a possible violation of this Agreement or otherwise.
5.4 The posting of Member Content on the Site does not indicate any approval or endorsement by us of such Member Content. We are not responsible for, and disclaim any and all liability that may arise from the Member Content posted by you and/or any other member.
5.5 We may contact you directly to participate in understanding how our members use Greenredeem through a survey or short telephone questionnaire, to invite you to participate in specific public relations activities or to ask you about activities you have participated in.
6 Points and Redemptions
6.1 The Programme allows you to earn Points for recycling accepted items both at home (through our Home Recycling Programme),on the go (via our Kiosks), for using less water (through our Water Efficiency Programme) and other areas which we may publicise on our Site or notify to you at any time.
6.2 Points will be awarded at the stated rate for the items recycled through our kiosks. Whilst we take reasonable care to ensure all marketing and promotional recycling rates are accurate, we cannot be held responsible for any inaccuracies or variations to the stated rate. By continuing with the transaction you agree and accept the Points awarded for the relevant transaction. We are unable to offer refunds or return of any items deposited or recycled at our Kiosks.
6.3 Points can only be earned when the member has identified themselves, by either signing into Greenredeem.co.uk, through our official automated telephone service or, for members who are registered for the Home Recycling Programme, when using the recycling containers allocated to their registered property.
6.4 For those Members who also earn points through our Home Recycling Programme:
6.4.1 where your local authority recycling containers are equipped with an RFID tag (your local authority can confirm this), 5 Points will be credited to your Account for each complete kilogramme of approved recyclable items that are collected at the kerbside of your registered property using the recycling containers allocated to you by your local authority. Points will be credited to your Account within 5 working days of recyclable items being collected.
6.4.2 Where your local authority recycling containers are not equipped with an RFID tag (your local authority can confirm this), 10 points will be credited to your Account each time you contact us confirming that you have recycled using the Home Recycling Programme, per week, limited to once per week. You should contact us at https://www.greenredeem.co.uk/, through our Smartphone Apps, or by calling 0844 409 9490 to claim these Points.
6.5 All Points awarded for the Home Recycling Programme are limited to 450 Points per property per calendar month. Therefore we urge you to monitor the level of items recycled to ensure you don't miss out on Points due to this limit being exceeded.
6.6 At the end of each calendar month we will seek to award additional bonus Points to Members who participate in our Home Recycling Programme, where your local authority recycling containers are not equipped with an RFID tag. Any award will be based on the weight of the collected recyclables in your local community. Details of your local community for the purposes of bonus Points are available on request. 5 bonus Points will be awarded per complete kilogramme of recycling collected.
6.7 For those members who also earn points through our Water Efficiency Programme:
6.7.1 Those householders invited to become Greenredeem members by Thames Water, will be able to earn points by using less water at home. Members will earn 1 point for every 10 litres saved at home, measured against a pre-determined water usage baseline established over the previous 12-weeks usage, prior to the date of registration with Greenredeem. Members are rewarded with points on a weekly basis. The weekly water usage and pre-determined baseline water usage values are derived from Thames Water’s water meter data, provided to Greenredeem by Thames Water, following customer registration to Greenredeem.
188.8.131.52 If consumption increases against the baseline, then no points will be awarded for this element of the programme.
184.108.40.206 If the consumption record is below 30% of the average consumption set in the baseline, then the consumption will be recorded, but points will not be awarded as it is deemed that there was not complete occupancy at the location during that week.
6.7.2 All households in the Thames Water Efficiency Programme will have a baseline water usage associated to the household. This baseline will initially be calculated using historical water usage data and will be appraised every week, based on actual household usage supplied by Thames Water. If the household consumption has changed significantly, then the baseline will be updated and will appear on the Member Account area.
6.7.3 From time to time, Greenredeem may increase the number of points to be awarded for using less water at home, e.g. in points of water scarcity. This will be clearly communicated to members, the timescale for which the points over rider applied and the points award will automatically be updated for that time.
6.7.4 Additional points earning opportunities will be available to members of the Water Efficiency Programme, and details of those opportunities will be clearly communicated with members on the site.
6.7.5 A points cap of 100 points per week will be applied to the points accrued through the Water efficiency programme. This applies only to points earned by using less water at home and doesn't affect the points that can be earned for taking other activities, such as pledges, quizzes or watching a film.
6.7.6 Those householders invited to become Greenredeem members by South West Water will be able to earn points to using less water at home. Members will earn 1 points for every 10 litres saved as part of the District Meter Area (DMA) community. Each month, the amount of water that is used in the DMA will be measured, and if this has reduced against a pre-determined baseline then the equivalent saving will be converted into Greenredeem points. The points from the calculation will be shared out across the community, so that each member receives an equal share of the points available. At the same time, if the amount of water used is less than the baseline then all registered members will also receive a 50-point bonus.
220.127.116.11 If consumption increases against the community baseline, then no points will be awarded for this element of the programme.
18.104.22.168 From time to time, Greenredeem may increase the number of points to be awarded for using less water at home, e.g. in points of water scarcity. This will be clearly communicated to members, the timescale for which the points over rider applied and the points award will automatically be updated for that time.
6.8 Points may also be awarded for satisfactorily completing pledges or quizzes, or by consuming digital media (e.g. watch a short film) or interacting with us via social networking websites. Points for each activity will be communicated prior to the beginning of each activity and credited to your Account shortly after completion.
6.9 All Points credited to your Account:
6.9.1 are not transferable and are personal to the Account to which they are credited
6.9.2 cannot be combined with Points from another account;
6.9.3 are not redeemable for cash or any other form of currency or credit; and
6.9.4 cannot be returned, exchanged, refunded or replaced for cash and have no cash value.
6.10 We reserve the right to monitor your Account for fraud prevention and account maintenance reasons. We reserve the right to adjust your Account Points total without notification to you if such checks reveal errors, inaccuracies, miscalculations or non-compliance with this Agreement. If you become aware of any discrepancy in your Points, please notify us promptly within 30 days. Any credits for missed points are at our sole discretion
6.11 Once a Reward has been redeemed or ordered in accordance with section 8, your Points balance on your Account will be reduced by the required number of Points. We regret that we are unable to re-credit or refund Points other than as expressly provided by this Agreement and therefore recommend that you confirm any Reward before submitting an order.
6.12 Points balance for accounts without activity in a twelve month period will be removed periodically after the twelve month period and we cannot accept liability for any loss of Points or costs incurred by you as a result of your Points being removed due to Account inactivity.
6.13 Should your local authority cease to participate in the Home Recycling Programme, or Thames Water opt to not continue the Water Efficiency Programme, regrettably we will no longer be able to credit Points to your Account for recyclables collected, or water saved from your property. You may, however, continue to collect Points as an individual Member by recycling through our network of Kiosks.
7.1 The Rewards are made available as a benefit of your Greenredeem Membership and are provided by the relevant Rewards Partners.
7.2 Rewards may only be redeemed in a Reward Partner's shop, business or service by a Greenredeem Member, and may not be gifted to any other person. Any attempt to re-sell rewards by any means will constitute a breach of the terms of this agreement under section 5.4
7.3 You may redeem Points for Rewards at any of our Kiosks, through our Site, on our Smartphone Apps or by contacting us on [0844-409-9490]. Rewards redeemed over the telephone will require your Account and may be subject to alternative pricing structures.
7.4 Rewards are, at all times offered on the basis that they are:
7.4.1 subject to availability and/or eligibility requirements;
7.4.2 subject to your compliance with the terms of this Agreement;
7.4.3 subject to the terms and conditions of the relevant Reward Partner; and
7.4.4 may be subject to change without notice to you.
7.5 The terms and conditions offered by our Reward Partners are separate and distinct from this Agreement and may create a binding relationship with the relevant Reward Partner. It is your sole responsibility to confirm a full understanding of such terms and conditions before redeeming Points for any Reward, including your ability to comply with the terms or requirements of a Reward Partner, as we are unable to accept liability for costs or losses incurred due to non-compliance.
7.6 In the event that a Rewards Partner refuses to honour a Reward for any reason (other than suspicion of your theft, fraud or where you have failed to comply with eligibility criteria or section 4 of this Agreement) our sole responsibility will be to credit your account for the amount of Points that were to be redeemed for the Reward.
7.7 Once a Reward has been ordered or redeemed, you agree to be bound by the terms and conditions of the relevant Reward Partner and acknowledge that Greenredeem has no liability to you in relation to the provision or non-provision of any Reward. So that we may monitor the experiences of Account holders, you agree to notify us promptly of any discrepancy of the Reward delivered or provided or on non-receipt of the same by a Reward Provider. Failure to notify us promptly will result in us being unable to investigate the matter.
7.8 We are not responsible for replacement of Rewards that are not received because you failed to provide accurate delivery information, including address and full name. In the event Greenredeem and the relevant Reward Partner allow you to re-book any Reward offered, you agree to meet any charges, costs or expenses associated with any re-delivery offered.
8 Using the Programme
8.1 By entering into this Agreement:
8.1.1 you are confirming to us that:

126.96.36.199 all Member Content provided is original to you; and
188.8.131.52 your Member Content does not infringe any third party's copyright, trademark, right of privacy or publicity, or other legal rights; and
8.1.2 you agree:
184.108.40.206 that you are responsible for your own use of the Site and our Kiosks, for any Member Content you provide, and the consequences of the same; and
220.127.116.11 that you will use the Site in compliance with all applicable laws, rules and regulations of which might be notified to you from time to time; and
8.1.3 you agree not to:
18.104.22.168 post any private information, or otherwise collect or disclose information, about another member or any other person without his or her express consent;
22.214.171.124 post any content to the Site that is unlawful, racist, hateful, libellous, defamatory, obscene, or that intentionally discriminates against or harasses particular individuals or groups;
126.96.36.199 post any content to the Site that infringes any third party's intellectual property or other rights;
188.8.131.52 use the Site for any unlawful purpose;
184.108.40.206 use the Site for advertisements, chain letters, spam, junk mail or solicitations;
220.127.116.11 take any action that imposes an unreasonable burden on the Site's server;
18.104.22.168 use the Site for promotional or commercial purposes;
22.214.171.124 use any means to interfere with the proper working of the Site;
126.96.36.199 take any other action or fail to take any action that results in any improper use of the Site or violation of this Agreement, as we shall determine in our sole discretion.; and/or
188.8.131.52 use the Kiosks otherwise than as directed.
9 Our Site and Member Content
9.1 By uploading or including Member Content, you expressly allow:
9.1.1 us and our authorised partners to use, reproduce, distribute, share and amend the Member Content throughout the Site, our Kiosks, the website of our authorised partners and any other interactive services we might make available in future.
9.1.2 other members to view the Member Content provided by you through the Site, our Kiosks the non-exclusive, personal, non-transferable right to view the relevant material.
9.2 Please note the conditions of sections 6.4 and 6.5 apply in relation to our rights to amend, vary or modify Member Content provided.
9.3 Certain information made available on or through the Site is provided by third parties such as our Reward Partners, marketing partners or news services or sponsors ("Third Party Content"). The inclusion or appearance of Third Party Content on the Site does not indicate any approval or endorsement by us of such Third Party Content. We are not responsible for Third Party Content or the act of accessing, browsing, or otherwise using such Third Party Content.
9.4 The Site contains links to third party web sites, including, without limitation, websites operated by Reward Partners or social network websites (an "External Site"). The content of such External Sites is provided by others and you should be aware that we do not control the content and/or policies of these External Sites. You should contact the site administrator for those External Sites if you have any concerns regarding any content and/or services available on the External Sites.
9.5 As Greenredeem has no control or input into the content or operation of any External Sites, we are unable to accept responsibility or liability to you for any claims, loss or costs incurred by you as a result of any information or content displayed (or not displayed) on any External Site. We strongly recommend that you satisfy yourself as to the accuracy, completeness and credibility of any claims or statements made on External Sites or through Third Party Content â€“ if you have any doubts, do not continue or accept their terms.
9.6 Any actions you take in relation to an External Site or Third Party Content may form a contract between you and a third party. Greenredeem has no influence over these terms and you agree that dealings with third parties are solely between you and the relevant External Provider or provider of Third Party Content and Greenredeem cannot be responsible or liable for any loss or damage that arises from these dealings.
9.7 You acknowledge that all copyright, trade marks and other intellectual property rights in and relation to the Site and/or us (including material such as Third Party Content or which is contributed by members or Reward Partners) are owned by, or licensed to, us. To clarify, you are not authorised to copy any information, pictures, logos, text or icons from the Site or our Kiosks.
9.8 Commentary and other materials posted on the Site or at our Kiosks are not intended to amount to advice and you should satisfy yourself as to the accuracy of any comments or statements made. If you have any questions, please contact our customer care line on [0844-409-9490].
9.9 Whilst we aim to provide real-time information and provide our services on a 24 hour basis, there may be occasions where the services are delayed, taken offline or are subject to routine maintenance. We cannot accept any responsibility for the availability of the Site or the services. However, we will seek to inform you (via the Site or applicable Kiosks) before we make any of these changes where it is possible to do so.
10 Privacy and personal data
11.1 We will provide the Programme with reasonable care and skill but we cannot and do not guarantee that the Programme will generate any minimum level of Points or Rewards available to you. The level of Points will be solely linked to your use of the Programme and ability to recycle.
11.2 Whilst we do not intend to avoid the consequences of our actions or those of our representatives, we have sought to limit our total liability during any successive period of twelve months (the first of which shall be deemed to begin on the date when your Account is created) to the sum of Â£100. As we do not provide any services directly to you and all liability for Rewards is governed by the terms of our Reward Partners, we hope you will find this reasonable.
11.3 Whilst nothing in this Agreement seeks to exclude or limit our liability for death or personal injury resulting from our negligence, or for any damage or liability incurred by you as a result of any fraud or fraudulent misrepresentation on our part, we are unable to cover any losses which are not directly covered by the terms and conditions of the Agreement; examples of such loss might include the cost of any Reward or your inability to complete or participate in any Reward or loss of earnings or profit due any lost or incomplete Reward being provided by a Reward Provider. We request that you raise any issues regarding a Reward with the applicable Reward Partner.
11.4 As we are acting solely as an intermediary between you and our Reward Partners, we are unable to accept liability in any format:
11.4.1 for any loss of revenue, business, anticipated savings or profits, or
11.4.2 for any indirect claims or other claims arising through non-supply or late supply of any Reward, failure to credit Points, or other non-performance of this Agreement or otherwise;
11.4.3 any termination or cancellation of this Agreement, the Programme or your Account;
11.4.4 for any actions or failures of our Reward Partners or local authorities to collect your recyclable items or to notify us of the information we need to accurately credit Points to your Account;
11.4.5 for any failure by you to comply with the terms of this Agreement or any conditions or requirements specified by our Reward Partners.
11.5 Whilst we take every care to develop our Smartphone App for your use, we are unable to accept any liability for your use or the Smartphone App (other than as intended) or in connection with damage caused to your handset by you or a Reward Partner when a Reward is being redeemed.
12 Ending the agreement
12.1 You may close your Account and cancel this Agreement at any time by notifying us of your wish to cancel via email to info@Greenredeem.co.uk by calling the Customer Care Department via telephone 0844-409-9490, or by writing to us at Greenredeem, 2 Melford Court,The Havens,Ransomes Europark, Ipswich, Suffolk IP3 9SJ
12.2 If the account holder is not able to contact Greenredeem due to incapacity, death, the request to close the account may be submitted to Greenredeem by a third party with the necessary documentation supporting the request which Greenredeem shall review and determine in its sole discretion.
12.3 We may close your Account and cancel this Agreement where you:
12.3.1 have failed to comply your obligations in section 4;
12.3.2 act in a way which we deem to be abusive, defamatory or contrary to our values or the spirit of the Programme;
12.3.3 have unfairly or deceptively participated (or tried to participate) in the Programme (including to collect Points) or used (or tried to use) your Account or any other services that we provide;
12.3.4 have provided false information or any third party has used your Account (with or without your permission);
12.3.5 you have failed to collect or redeem Points in the previous 12 months. Before we terminate for this reason we will give you 7 days notice of our intention to close your Account.
12.4 Consequences of cancelling:
12.4.1 You cancel: before you cancel, you should check whether you have any Rewards ordered or Points available. Any Points held in your Account at the time your Account is cancelled will be permanently forfeited and you will not be entitled to redeem Rewards with these Points at any future time (even if you open another Account). Please note that our Reward Partners may require you to be an active Greenredeem Member at the time your Reward is collected.
12.4.2 We cancel: where we cancel this Agreement, you acknowledge that you will not be able to receive or redeem any further Points or Rewards. Any Points held in your Account at the time we cancel will be permanently forfeited and you will not be entitled to redeem Rewards with these at any future time (even if you open another Account). Your Greenredeem Membership and any affiliated Accounts may also be cancelled.
12.4.3 Please note that our Reward Partners may require that your Account is open and valid at the time your Reward is claimed and/or delivered/experienced (as applicable). Please bear this in mind before cancelling as we cannot be liable for any costs or expenses incurred by you.
13 Moving House
13.1 For Members who participate in the Home Recycling Programme or Water Efficiency Programme, we urge you to keep your contact details up to date via the Site.
13.2 In the event that you are about to move house or to stop residing at the property that is registered as your address for the purposes of the Home Recycling Programme or Water Efficiency Programme, please contact us via the Site to ensure Points are accurately credited to your Account. We are unable to credit Points to your Account after the date you have moved.
13.3 In the event that Points are credited to your Account for items recycled after the date you ceased to reside at the Property, we reserve the right to adjust your Account accordingly.
14 Other important terms
14.1 We may transfer our rights and obligations under this Agreement to another organisation or any group company without notice, but this will not affect your rights or our obligations under this Agreement.
14.2 In the event that any matter beyond our control arises during the term and this affects our ability to provide or operate the Programme, Home Recycling Programme (including our Kiosks), or Water Efficiency Programme, we will try to take all steps possible to reduce the effect this has on your ability to collect Points and collect Rewards. Unfortunately, if despite our efforts this continues for a period in excess of 2 months and we are still unable to make the services available to you, we may need to terminate this Agreement. If we do so, we will notify you in writing and confirm the reasons for taking this course of action.
14.4 This Agreement is between you and us. No other person shall have any rights to enforce any of its terms and you are not entitled to transfer your rights or obligations under the Agreement to any other person or organisation.
14.5 From time to time we may update this Agreement. This may come as a result of a change to our services or the terms on which the recycling scheme is made available to you. Any changes to this Agreement will be made available to you via our Site and notified to you by e-mail. These changes will take effect 30 days after they have been notified to you.
14.6 Each of the paragraphs of this Agreement operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect and the court may make such amendments to this Agreement is it needs to ensure the Agreement remains valid.
14.7 If we fail to insist that you perform any of your obligations under this Agreement, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
14.8 This Agreement will be governed by the laws of England & Wales and any dispute in connection with this Agreement or the services provided by us or our group companies will be governed by the courts of England & Wales.
